Our Insurance Transactional and Regulatory team works seamlessly with lawyers in our other transactional practice groups, including Securitization and Structured Finance, Mergers and Acquisitions, Investment Management, Banking and Finance, and Derivatives and Structured Products, to deliver comprehensive cross-disciplinary advice. When necessary, our highly rated Litigation group assists clients in resolving claims and coverage disputes.
Our strong and effective working relationships with regulators, combined with our practical and innovative mindset, are among the reasons clients often ask us to step in when other law firms have failed to achieve the desired results. It’s also why we get called on to handle novel situations, such as when we secured the first-ever state insurance regulatory approvals for a China-based private fund to acquire a U.S. insurance company.
Another important aspect of our practice is advising carriers and producers in underwriting representations and warranties and other transactional policies in the context of M&A matters. These transactions straddle multiple sectors and business profiles. Our deep familiarity with M&A markets, decades of sophisticated transactional work and knowledge of the business issues associated with insurance underwriting enable us to provide key insights to our clients. Our firm has handled representations and warranties insurance (RWI) and tax liability claim disputes at all stages and has significant experience working with both primary and excess insurers to resolve RWI and tax claims out of court by providing efficient and targeted analysis of alleged breaches and claimed losses.
