• Nicole S. De Bare represents some of New York City’s most prominent developers, investors, lenders and not-for-profit institutions, including educational institutions, in real estate transactions, with a particular focus on condominiums and cooperatives.

    Nicole drafts and negotiates condominium governance documents for mixed-use condominiums, including leasehold condominiums, and prepares and files offering plans and “no action” applications with the New York State Department of Law. She has worked on complex condominium projects with components including hotel, office, retail, dormitory and educational facilities, and she has prepared offering plans for some of New York City’s most notable buildings.

    She also advises lenders to and investors in condominium projects, both in New York and around the country, on condominium documents and loan documents.

    Nicole has served as counsel to condominium boards in New York City, advising on day-to-day matters involving the condominiums’ operation, amending governance documents and counseling on board governance matters.

    • Represents the developer in filings before the New York State Attorney General for a mixed-use condominium project that includes residential apartments, a luxury hotel, retail space and parking facilities.

    • Represents the developer in filings before the New York State Attorney General for a commercial condominium project that includes retail space, commercial offices and parking facilities.

    • Represented a joint venture in the bulk sale of condominium units and cooperative apartments in New York City.

    • Represents the developer in filings before the New York State Attorney General and in sales of a 300-plus-unit condominium conversion located in Downtown Manhattan.

    • Represents the tenant in connection with the preparation and filing of leasehold condominium formation documents, including filings before the New York State Attorney General.

    • Represents the developer in the preparation and filing of a condominium offering plan for the sale of more than 140 new-construction condominium units in Chelsea.

    • Represents the developer in the preparation and filing of a condominium conversion plan for the sale of more than 180 condominium units in Union Square.

    • Represented the lender as condominium counsel in connection with construction financing for the development of luxury condominium residences on Fifth Avenue in Midtown Manhattan.

    • Represented the borrower as condominium counsel in connection with a loan refinance for a potential future condominium site on Madison Avenue.
