    Among his recent work, Mendel represented VICI Properties Inc. in several transactions, including in its acquisition of the real estate assets associated with The Venetian Resort Las Vegas and the Sands Expo and Convention Center from Las Vegas Sands Corp., and triple-net lease to an affiliate of Apollo Global Management Inc., in its pending $17.2 billion strategic acquisition of MGM Growth Properties LLC, and in its acquisition and leaseback of JACK Cleveland Casino and JACK Thistledown Racino for approximately $843.3 million in cash.

    • Represented VICI Properties Inc. in its acquisition of the real estate assets of 38 bowling entertainment centers from Bowlero Corp. (NYSE: BOWL) for an aggregate purchase price of $432.9 million and the simultaneous leaseback to subsidiaries of Bowlero Corp.

    • Represented VICI Properties Inc., an NYSE-listed REIT, in its acquisition of the real estate assets of PURE Casino Edmonton in Edmonton, Alberta, PURE Casino Yellowhead in Edmonton, Alberta, PURE Casino Calgary in Calgary, Alberta, and PURE Casino Lethbridge in Lethbridge, Alberta, from PURE Canadian Gaming Corp. for approximately C$271.9 million (US$200.8 million), and the simultaneous entry into a triple-net master lease agreement with PURE covering the PURE portfolio.

    • Represented VICI Properties Inc. in its acquisition of the real estate assets associated with Fitz Casino & Hotel and WaterView Casino & Hotel for approximately $293.4 million, and the simultaneous leaseback to subsidiaries of Foundation Gaming and Entertainment, LLC.

    • Represented VICI Properties Inc. in its lease of the Mirage Hotel & Casino in Las Vegas to Hard Rock International.

    • Represented VICI Properties Inc. in its acquisition of the real estate assets associated with The Venetian Resort Las Vegas and the Sands Expo and Convention Center from Las Vegas Sands Corp., and triple-net lease to an affiliate of Apollo Global Management Inc.

    • Represented VICI Properties Inc. in connection with Eldorado Resorts Inc.’s business combination with Caesars Entertainment Corp. and modifications to certain existing lease agreements between the companies.

    • Represented VICI Properties Inc. in its acquisition of the real estate assets of JACK Cincinnati Casino, located in downtown Cincinnati, OH, for approximately $558 million in cash, and lease to Hard Rock International.

    • Represented VICI Properties Inc. in its acquisition of real estate assets from Caesars Entertainment Corporation for approximately $749 million and modifications to certain existing lease agreements between the companies.

    • Represented Quilvest Group in its acquisition of a majority of the equity in the partnerships that own the 30-story office building located at 123 S. Broad St. in Philadelphia, PA, and the related joint venture, mortgage refinancing and sale of the adjacent Witherspoon Building.

    • Represented an ad hoc group of bondholders holding in excess of $3.5 billion of first-priority senior secured bonds issued by Caesars Entertainment Operating Co. (CEOC), a majority-owned subsidiary of Caesars Entertainment Corp., in the real estate aspects of CEOC’s Chapter 11 restructuring.

    • Represented a group of affiliated borrowers in a complex $260 million leasehold mortgage and mezzanine refinancing of an Upper East Side mixed-use hotel/restaurant/cooperative-apartment property.

    • Represented a real estate opportunity fund in the creation of a programmatic real estate joint venture.

    • Represented a real estate opportunity fund in the creation of a joint venture, as well as in the joint venture’s acquisition of a portfolio of properties in Colorado.

    • Represented a foreign-based company in the negotiation of a New York office lease.

    • Represented a public insurance company in the sale leaseback of its corporate headquarters.

    • Represented a real estate investment trust in the acquisition of a leasehold interest in a three-tower, mixed-use commercial complex.
