• Natan Hamerman is a litigator with more than 20 years of experience handling a broad range of disputes, particularly high-profile Chapter 11 bankruptcy cases, distressed real estate disputes, and other complex financial and commercial cases. Natan is a trusted adviser and fierce advocate at all stages of litigation, from crafting initial strategies to drafting pleadings, arguing motions, taking and defending depositions, and first-chairing trials. In bankruptcy cases, Natan represents diverse parties, including official creditors’ committees, bondholders, secured and unsecured creditors, and debtors. He is particularly known for leading investigations to uncover estate assets. In his real estate-related work, Natan represents lenders, developers, landlords and tenants in a broad range of disputes — particularly in situations where the property is in distress — including lender liability claims, real property and Uniform Commercial Code (UCC) foreclosure disputes, liquidated damages claims, commercial lease interpretation cases, and construction-related litigation.

Natan’s recent bankruptcy work has included representation of the Official Committees of Unsecured Creditors in the bankruptcies of Endo International plc, Rite Aid Corp. and Express Inc. In these cases, Natan guided each of the Committees’ investigations with a focus on identifying unencumbered assets, maximizing value for the benefit of unsecured creditors and coordinating multifaceted litigation. He currently represents Endo’s General Unsecured Creditors’ Trust and is in the process of pursuing breach of fiduciary duty claims against Endo’s former officers and directors.

Natan’s notable real estate work includes defending an affiliate of CIM, the developer and sponsor of 432 Park Ave., against damages claims related to alleged construction and other defects in the luxury supertall condominium building in a suit involving dozens of parties. He also recently represented lender Sutton 58 Associates LLC (an affiliate of Gamma Real Estate) in the bankruptcies of BH Sutton Mezz LLC and Sutton 58 Owner LLC (affiliated with The Bauhouse Group). Natan successfully enforced the client’s $147 million loan agreements and simultaneously first-chaired the defense of the client in an adversary proceeding commenced by the debtors alleging lender liability claims. In a related state court action, Natan represented Gamma Real Estate in a suit arising from the same transaction in which Gamma alleged $100 million of damages against real estate developer Philip Pilevsky for tortious interference with the loan agreements, litigating issues of federal preemption of the lender’s claims to the New York Court of Appeals and obtaining a favorable 4 – 3 majority decision.

Natan also recently represented property owner Vernon Realty Holding LLC in multiple litigations relating to 44-02 Vernon Blvd., a 28-acre site that is part of a planned 112 million-square-foot development along the Long Island City waterfront. Natan successfully led a multiyear court battle over the repayment of $96.9 million in loans. The dispute involved issues that are rarely litigated in commercial disputes concerning the property owner’s equitable right of redemption and the principle of unconditional tender of amounts due. These issues were relevant because the plaintiff — which was not a traditional lender — acquired the mortgages with the goal of foreclosing, becoming the owner and developing the property on its own, and thus was incentivized to resist Vernon’s payoff efforts. Through aggressive motion and appellate practice, Vernon was able to defeat the plaintiff’s “loan-to-own” strategy, and the plaintiff was ultimately forced to accept Vernon’s repayment.

In addition to bankruptcy and real estate litigation, Natan represents clients in a wide range of other complex financial and commercial disputes, including breach of contract cases, business tort litigation and business separation disputes.
