    • Kramer Levin Advises on Onboard Acquisition of Payvus

      Kramer Levin represented Onboard Partners LLC, a portfolio company of Stone Point Capital LLC, in connection with Onboard’s acquisition of Aliaswire Inc.’s Payvus small credit card issuing and capital management business.
    • Kramer Levin Advises VICI in Acquisition of Four Properties in Alberta Canada in Sale-Leaseback Transaction

      On May 17, 2023, Kramer Levin client VICI Properties Inc. (VICI) announced that subsidiaries of VICI will acquire the real estate assets of four casino properties in Alberta, Canada, from subsidiaries of Century Casinos Inc. (Century) for a total purchase price of CAD 221.7 million ($164.4 million).

      Simultaneous with the closing of the transaction, the real estate assets will be added to the existing triple-net master lease between subsidiaries of VICI and Century, with an annual rent increase of CAD 17.3 million ($12.8 million).

    • Kramer Levin Advises ATLAS SP Partners and Citi in Connection With Sunnova’s $3 Billion Conditional Commitment from U.S. Department of Energy to Develop Virtual Power Plant Capabilities and Support Clean Energy Access

      Kramer Levin is representing ATLAS SP Partners and Citi, financial advisors to Sunnova Energy International, Inc. (Sunnova), in connection with the U.S. Department of Energy’s conditional commitment to provide an up to $3.0 billion partial loan guarantee to make distributed energy resources, including rooftop solar, battery storage and virtual power plant (VPP)-ready software available to more American homeowners. The transaction is known as “Project Hestia."
    • Kramer Levin Advises Key Shareholders in Proposed Strategic Merger between Energy Harbor Corp. and Vistra Corp.

      Kramer Levin represented our clients, funds managed by Avenue Capital Group (Avenue) and funds advised by Nuveen Asset Management, LLC (Nuveen), in a strategic combination between Vistra Corp. and Energy Harbor Corp announced on March 6, 2023. Upon closing of the transaction, Energy Harbor will merge with and into a newly-formed subsidiary of Vistra, known generally as “Vistra Vision.” Total consideration will consist of $3 billion cash and a 15% equity interest in Vistra Vision. Most Energy Harbor shareholders will receive cash at closing, and the two largest shareholders, Avenue and Nuveen, will receive a combination of cash and the 15% ownership interest.
    • Kramer Levin Represents BlackRock in Connection With Strategic Growth Investment in Human Interest

      Kramer Levin represented BlackRock, one of the world's preeminent asset management firms and a premier provider of investment management, in connection with BlackRock’s equity investment in Human Interest, a full-service 401(k) provider that seeks to make it easy for small- and medium-sized businesses to help their employees save for retirement. BlackRock’s investment will help Human Interest continue to enhance its technology platform capabilities and mature its operational processes and infrastructure. In addition, BlackRock will share its experience and expertise to help Human Interest fulfill its mission.
    • Kramer Levin Advises Hildene Capital Management in Strategic Alliance With SILAC Insurance Co.

      On Jan. 9, 2023, Kramer Levin client Hildene Capital Management, a diversified institutional asset manager specializing in asset based and credit opportunities, announced that it has entered into a long term strategic alliance with SILAC Insurance Co., Utah's oldest active insurance company, and a leader in the annuity industry.
    • Kramer Levin Advises Atlantic Street Capital in Sale of Advancing Eyecare

      On May 9, 2022, Kramer Levin client Atlantic Street Capital announced that it has entered into an agreement to sell Advancing Eyecare, a  leading provider of ophthalmic instruments, to Cornell Capital. The transaction is subject to customary closing conditions and is expected to close in the second quarter of 2022.

    • Kramer Levin Advises Investment Banks in Connection With $1.2 Billion Committed Financing for Siris Capital Acquisition of Electronics for Imaging

      Kramer Levin represented RBC Capital Markets, KKR Capital Markets LLC, Barclays Bank PLC, Credit Suisse Loan Funding LLC, Macquarie Capital (USA) Inc., BNP Paribas Securities Corp. and Société Générale as joint lead arrangers; Royal Bank of Canada, KKR Corporate Lending (CA) LLC, Barclays Bank PLC, Credit Suisse AG, Cayman Islands Branch, Macquarie Capital Funding LLC, BNP Paribas and Société Générale as lenders; and Royal Bank of Canada as first lien facility administrative agent and collateral agent and KKR Loan Administration Services LLC, as second lien facility administrative agent in connection with a committed financing – which includes a $100 million revolving credit facility, an $875 million first-lien term loan facility and a $225 million second-lien term loan facility – for the acquisition of Electronics for Imaging, Inc. by Siris Capital Group, LLC and its affiliates.
    • Kramer Levin Represents Qomolangma Acquisition Corp. on its Initial Public Offering

      Kramer Levin represented Qomolangma Acquisition Corp., a special purpose acquisition company, in its $50 million initial public offering and listing on Nasdaq. The transaction closed on Oct. 4, 2022, and a further offering pursuant to the underwriter’s over-allotment option closed on Oct. 7, 2022.
    • Kramer Levin Closes $397 Million Solar Loan Securitization

      Kramer Levin represented the sponsor and issuer of a $397,145,000 securitization of loans originated to install solar panels and energy storage systems. The securities were rated by Kroll Bond Rating Agency and S&P Global Ratings. The transaction closed on Aug. 10, 2022.
    • Kramer Levin Advises Sentinel Capital Partners in Acquisition of Bandon Holdings

      On July 28, 2022, Kramer Levin client Sentinel Capital Partners announced that it has acquired Bandon Holdings, headquartered in Austin, Texas, the largest franchisee in the Anytime Fitness family. Anytime Fitness, headquartered in Woodbury, Minnesota, is the largest fitness company in the United States and the fastest growing gym franchise in the world. Terms of the deal were not disclosed.

    • Kramer Levin Advises VICI in $17.2 Billion Acquisition of MGM Growth Properties

      On April 29, 2022, Kramer Levin client VICI Properties Inc. announced that it acquired MGM Growth Properties for a total consideration of $17.2 billion, adding 15 Class A entertainment resort properties to the VICI portfolio. Simultaneous with the closing of the transaction, VICI entered into an amended and restated triple-net master lease with MGM Resorts for an initial annual rent of $860 million. Upon completion of the merger, VICI had an estimated enterprise value of $45 billion, solidifying VICI’s position as the largest experiential net lease REIT.

    • Kramer Levin Advises BlackRock in $750 Million Investment with Warner Music in Diverse Artists

      On Feb. 24, 2022, Kramer Levin client BlackRock announced that funds managed by BlackRock Alternative Investors, along with Warner Music Group, have invested $750 million to purchase the music catalogs of “modern evergreen” artists, with a focus on female and diverse songwriters. The investment is part of a strategic alliance with Influence Media Partners.
