• Christopher S. Auguste counsels and represents clients in the private placement or public offering of debt and equity securities. Chris represents underwriters and issuers in initial and secondary public offerings, private investment funds in their investment in public and private companies, and investment banks in structuring PIPEs, SPACs, shelf offerings and equity line transactions. He counsels public companies and their boards and management on corporate governance matters. He also represents financial institutions and issuers in structured financings.

    Among his recent notable work, Chris served as U.S. securities counsel for an Israeli issuer in connection with a $200 million Rule 144A private offering of convertible senior notes. He also advised several sponsors in the formation of U.S. and Cayman Island long-short hedge funds and private equity funds. In addition, Chris advised a SPAC in completing its business combination with a pharmaceuticals company.

    Chris is the president of the board of Goddard Riverside Community Center, which provides housing for senior citizens and the homeless, education centers for children, and college access and counseling for New York City high school students, among other services. He is the president and an alumnus of the Wadleigh Scholars Program, which helps talented eighth graders gain admission to boarding school. He also currently serves on the board of Uncommon Schools, a charter school system with elementary, middle and high schools in Boston, Camden, New York City, Newark, Rochester and Troy. Chris is a trustee on the board of Phillips Academy and is the chair of the firm’s Diversity Committee and co-chair of the firm’s Pro Bono Committee.

    • Represented an Israeli issuer in a $200 million Rule 144A private offering of convertible senior notes and a $68.5 million equity shelf takedown.

    • Represented Piper Jaffray & Co., in connection with a Rule 144A/Regulation S offering by The Savings Bank Life Insurance Company of Massachusetts of $57,320,000 aggregate principal amount of 6.50% surplus notes due 2047.

    • Represented VICI Properties Inc. in its $1 billion private placement (PIPE) transaction to finance, in part, its purchase of Harrah’s Las Vegas.

    • Represented multiple Canadian issuers of certificates backed by commercial mortgage properties, which certificates were offered in both Canada and the United States.

    • Represented the purchasing agent in the public offering of up to $100 million aggregate principal amount of solar bonds issued by a U.S. public corporation.

    • Represented a registered investment adviser in restructuring a family of activist funds.

    • Represented several sponsors in the formation of a U.S. and Cayman Island long-short hedge fund with a modified mini master-feeder structure, a private equity fund focused on originating loans secured by real estate, a U.S. and Cayman Island consumer loan fund with a master-feeder structure, and mid- and small-cap PIPE funds.

    • Represented issuers, sponsors and underwriters in the registration of special-purpose acquisition corporations (SPACs).

    • Represented placement agents, issuers and investors in numerous PIPE transactions.

    • Represented a private equity fund in connection with the initial public offering and secondary offering of the equity securities of the portfolio company in which it invested.
